Terms of Service
These Terms of Service ("Terms") govern your access to and use of Quarterdeck AI, our website, and related applications (the "Services") provided by KPAppWorx Technologies Private Limited ("KPAppWorx", "we", "us"). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization.
1. Access and eligibility
The Services are currently offered on an early-access basis and may change, be limited, or be discontinued. You must be able to form a binding contract to use the Services, and you agree to provide accurate account information.
2. Your data and CRM connections
When you connect a CRM such as HubSpot, you grant us permission to access the relevant data in read-only mode to provide the Services. You retain all rights to your data. We use it only to provide and improve the Services as described in our Privacy Policy, and we do not use it to train models.
3. Acceptable use
- Do not use the Services unlawfully, or to infringe the rights of others.
- Do not attempt to disrupt, reverse-engineer, or gain unauthorized access to the Services.
- Do not resell or provide the Services to third parties without our written consent.
4. Intelligence and outputs
Quarterdeck produces scores, risk flags, and narratives to support decision-making. These outputs are informational aids and may contain errors or omissions. You are responsible for reviewing outputs and for the decisions you make. The Services do not constitute financial, legal, or investment advice.
5. Intellectual property
We own the Services and all related intellectual property, excluding your data. We grant you a limited, non-exclusive, non-transferable right to use the Services during your access period, subject to these Terms.
6. Fees
Where fees apply, they will be described at the time of purchase or in a separate order or agreement. Design-partner and early-access arrangements may have specific pricing communicated to you directly.
7. Confidentiality
Each party will protect the other's confidential information and use it only to perform under these Terms.
8. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or fit for a particular purpose.
9. Limitation of liability
To the maximum extent permitted by law, KPAppWorx will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to the Services.
10. Termination
You may stop using the Services at any time and revoke CRM access through your CRM provider. We may suspend or terminate access if these Terms are violated or as needed to protect the Services. On termination, the data-deletion provisions of our Privacy Policy apply.
11. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Disputes will be subject to the courts of Bengaluru, India, unless otherwise required by applicable law.
12. Changes
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date. Continued use of the Services after changes constitutes acceptance.
